These Terms of Sale govern the provision of consultancy services by Vitale Pastry Studio ("we", "us", "our") to business clients ("Client", "you", "your").
By engaging our services, you agree to these Terms of Sale.
1. Our Services
Vitale Pastry Studio provides pastry consultancy services to hospitality businesses, including but not limited to menu development, recipe creation, staff training, operational advice, and related consultancy services.
All services are tailored to the specific needs of each client and delivered on a bespoke basis.
2. Business Customers Only
Our services are offered exclusively to businesses and commercial organisations. By engaging our services, you confirm that you are acting on behalf of a business and not as a consumer.
We reserve the right to refuse service where this requirement is not met.
3. Quotations and Project Agreements
All quotations, proposals, and project scopes provided by us are valid for 30 days unless otherwise stated.
A project will commence only after written acceptance of our proposal and receipt of any required deposit.
Any additional work requested outside the agreed scope may be subject to additional fees.
4. Pricing and Payment
All fees are quoted in writing and include applicable UK VAT where required by law.
Payment terms are as follows:
50% deposit payable before work begins.
Remaining balance payable upon project completion.
Any agreed project expenses, travel costs, accommodation costs, ingredient costs, or other reasonable expenses incurred during the delivery of services will be invoiced separately unless otherwise agreed.
Final invoices are payable within 14 days of the invoice date.
We reserve the right to suspend work or withhold deliverables until outstanding payments have been received.
5. Consultations and Appointments
An initial consultation may be provided free of charge at our discretion.
Clients may cancel or reschedule appointments with reasonable notice.
Where a client fails to attend two scheduled appointments without sufficient notice, we reserve the right to terminate the project or discontinue future services.
6. Client Responsibilities
Clients agree to:
Provide accurate information relevant to the project.
Supply requested materials, documentation, and feedback in a timely manner.
Cooperate reasonably throughout the consultancy process.
Delays caused by the client may affect project timelines and delivery dates.
The Client is also responsible for ensuring that any recipes, menu items, production processes, allergen information, food safety procedures, and operational practices implemented following our recommendations comply with all applicable laws, regulations, and industry standards in their jurisdiction.
7. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in our materials, methodologies, templates, training content, and consultancy documents remain the property of Vitale Pastry Studio.
Upon full payment, clients receive a non-exclusive right to use the deliverables created specifically for their business.
Clients may not reproduce, resell, distribute, or commercialise our materials beyond their own business operations without our prior written consent.
8. Refunds
Due to the bespoke nature of our consultancy services, deposits and fees paid are generally non-refundable.
Where work has commenced, refunds will not be provided for completed work, partially completed work, or time already allocated to the project.
Nothing in these terms affects any rights that cannot be excluded under applicable law.
9. Limitation of Liability
We will provide our services with reasonable skill and care.
To the maximum extent permitted by law, Vitale Pastry Studio shall not be liable for:
Indirect or consequential losses.
Loss of profit, revenue, business opportunities, or goodwill.
Business interruption arising from the implementation of our recommendations.
Our total liability arising from any project shall not exceed the total fees paid by the client for the relevant project.
Nothing in these terms excludes liability for death, personal injury, fraud, or any liability that cannot legally be excluded.
10. Confidentiality
Both parties agree to keep confidential any commercially sensitive information disclosed during the course of a project.
This obligation does not apply to information that is publicly available or required to be disclosed by law.
11. Termination
Either party may terminate a project by providing written notice.
Where termination occurs after work has commenced, the client remains responsible for payment for all work completed, time allocated, and expenses incurred up to the termination date.
12. Governing Law
These Terms of Sale shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
